To the extent that liability cannot be excluded under applicable law, our total direct liability for all claims arising out of or related to these Terms will be limited to the greater of: (a) the amount you paid to us for services in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Some provinces and territories do not allow certain limitations of liability, so parts of this section may not apply to you. In that case, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless FLO Learning Canada Inc., and its directors, officers, employees, contractors, and invited specialists, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the website; (b) information you submit through the website; (c) your violation of these Terms; or (d) your violation of applicable law or third-party rights.

10. Force Majeure

We are not responsible for delays or failures to perform due to events beyond our reasonable control, including natural disasters, severe weather, power outages, labour disruptions, telecommunications or internet failures, acts of government, pandemics, war, terrorism, civil unrest, cyberattacks, or failures of hosting or cloud infrastructure providers.

11. International Use

FLO Learning Canada operates in Canada. We make no representation that the website or its content is appropriate or legally available in every jurisdiction. If you access the site from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.

12. Governing Law and Venue (Canada)

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the website will be brought exclusively in the courts located in Toronto, Ontario, Canada, and you consent to their jurisdiction and venue.

If you are a consumer and mandatory consumer protection laws in your province or territory provide you with rights that cannot be waived, those rights will apply to the extent required by law.

13. Dispute Resolution

Before starting a formal legal proceeding, you agree to contact us and provide a brief written description of your concern so we can attempt to resolve it informally. Unless prohibited by law, you agree to wait 30 days after sending notice before filing a claim, to allow a reasonable opportunity for resolution.

Nothing in this section prevents either party from seeking urgent injunctive relief where appropriate.

14. Termination

We may suspend or terminate your access to the website if we reasonably believe you have violated these Terms, created a security risk, or used the site in a way that could expose us or others to harm or liability. The following sections will survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FLO Learning Canada Inc. regarding your use of the website and supersede any prior or contemporaneous communications on the same subject.

17. Assignment

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
